WHOLESALE & DISTRIBUTION TERMS

Standard Operating Procedures for Retail Partners & OEM Accounts

1. Branding & Customization (OEM)
We offer flexible branding solutions to accommodate our partners' needs:
Co-Branding: Custom logos may be added to products while retaining the original
manufacturer's interior label. These products remain covered under our standard
manufacturer’s warranty.
White Labeling: At the customer's request, the manufacturer's label may be removed entirely from selected items.
Please note: Products without the original manufacturer's label are excluded from our standard warranty coverage.

2. Payment Terms
First Order: 100% prepayment via bank transfer is required before production or work
commences.
Subsequent Orders: A 50% deposit is required to initiate production, with the remaining 50%
balance due prior to shipment.
Net Terms: Following the successful completion of the initial order, partners may apply for Net 30 credit terms, subject to review and approval. 

3. Shipping & Logistics
FOB Origin: All orders are shipped FOB (Free On Board) from our facility. Title and risk of loss
pass to the buyer upon delivery to the common carrier.
Freight Costs: Shipping charges are the responsibility of the buyer. We offer PPA (Prepay and
Add) services, where logistics are managed by us and costs are appended to the final invoice.

4. Distribution Policy
Sales Channels: There are currently no restrictions on sales channels or geographic territories.
Partners are authorized to sell via their own websites, physical locations, or third-party
marketplaces.

Pricing: We do not enforce a Minimum Advertised Price (MAP) policy. Partners maintain full
autonomy over their retail pricing strategies.

5. Inspection & Returns
Defect Reporting: Any claims for manufacturing defects or shipping damages must be
submitted in writing within 15 days of delivery.
Final Sale: All wholesale and OEM transactions are final. No returns or exchanges are
accepted for unsold inventory.
Warranty: Branded products are protected by our standard warranty against defects in
materials and workmanship beyond the initial inspection period.
